Dynamic Duo is a sixteen-share, two-horse Partnership.  Ninety percent of the Partnership will be sold in fifteen equal shares, each share a six-percent ownership interest.  All Play Stable will retain and fully support a one Unit ownership interest.  Shares cost $1,825.  Ongoing monthly costs will average $265 per-share ($795/quarter).  Six shares have been sold.   Details follow, but right now it’s Time To Dream!  Let’s get to know our horses!

This is “Seven-Ten Split,” a chestnut colt foaled in Pennsylvania on Feb. 22, 2009.  He’s nominated to Breeders Cup and as a Registered Pennsylvania-bred is fully eligible to compete in the lucrative PA Thoroughbred racing program. (Photo - July ‘09)

Congratulations and thanks to Tamara Morris who submitted ‘Seven-Ten Split’ as her winning entry in the Colt Division of our July ‘09 “Name A Race Horse, Win A Prize” contest.

Seven-Ten Split looks and acts like an athlete.  He’s a son of TENPINS and out of a half-sister to the dam of sensational two year-old colt Boys At Tosconova, who is already G-III stakes-placed and who popped a 103 Beyer when breaking his maiden on July 2 at Belmont.  TENPINS made seventeen starts from ages three to six, finishing ‘on the board’ fourteen times, including nine wins.  Five of his victories were in Graded Stakes, including the G II Iselin Handicap and a track-record setting performance in the G II Washington Park Handicap.  A son of Smart Strike and from a Deputy Minister mare, TENPINS is bred on the same cross as world-leading money winner, CurlinTENPINS is the sire of BIG RED MIKE, winner of the G I (Can.) Queen’s Plate, with earnings now in excess of $725,000.  We hope Seven-Ten Split can follow in MIKE’s shoes by winning an American classic.

"Seven-Ten Split" - Lookin' for a way out!

Seven-Ten Split is the third foal from Retroesque (”Retro”), daughter of top broodmare sire Red Ransom.  Retro made four starts at age three, breaking her maiden at 1-1/16th miles on the Monmouth Park turf.  Her dam is VALID BONNET,  G III stakes-winner of over $387,000 and daughter of top broodmare sire, Valid Appeal. Including Retro, VALID BONNET has produced five foals of racing age.  All have started, all are winners.

Retro is a half sister to Little Bonnet, dam of sensational two year-old colt Boys At Tosconova, who in his maiden debut on April 30, ran a smashing second in the  G III Kentucky Juvenile Stakes at Churchill Downs.  Boys At Tosconova came back at Belmont on July 2 and broke his maiden in an electrifying performance.  He went five-eighths in an astonishing 56.2, winning by twelve in a hand-ride and popping a 103 Beyer in the process.  

Seven-Ten Split hails from a ‘live’ family of good racehorses.  His half-brother, Laffin’ Place, worked his first half-mile from the gate on July 3 at Philadelphia Park.  He went the half in a crackling 48.3 and the rider never asked him.  We believe Seven Ten Split is loaded with potential.

So Surprised,  ’Miss Muscles-on-Muscles,’ bears a strong physical resemblance to her sire PEACE RULES, himself a multiple Grade-I Stakes Winner of $3.1 million, on both dirt and grass.  He won nine races including eight stakes, seven of which were Graded Stakes and three of which were Grade I’s: the Blue Grass, the Haskell, and the Suburban.  He also ran second in the G-I Travers and third in the G-I Kentucky Derby.

Peace Rules ended 2009 ranked #11 nationally among sires with two crops of racing age, siring seventy-five  individual winners of nearly $2.5 million.  Needless to say, we have high hopes for our filly.  

So Surprised is the second foal from Wait ‘Til Midnight, daughter of top racehorse JUDGE T C ($826,826) and half-sister to the Stakes Winning and Grade II stakes-placed filly CINDERELLA’S DREAM, ($133,600).  Wait ‘Til Midnight’s first foal, Starliner, is in our Big Orange Racing Partnership.  Wait ‘Til Midnight’s promising racing career ended prematurely when she injured a knee in a work just prior to her first scheduled start.

Wait ‘Til Midnight’s dam is Broadway Hoofer, herself a half-sister to seven winners, including stakes winners BROADWAY’S TOP GUN ($243,158) and BROADWAY CHIEF (11 wins, $193,354), and stakes-placed Celtic Warrior ($137,357).  Broadway Hoofer is the dam of CINDERELLA’S DREAM, ($133,600), and she also has a yearling colt by Rock Hard Ten and a weanling filly by Leading Sire Smart Strike.

Shares available to PartnersFifteen, each share a 6% ownership interest.  Partners may own up to four shares.

Cost per-share$ 1,825 if paid in full at closing.     
$ 2,190 if paid in twelve monthly installments of $182.50.

Expenses:  Estimated & paid monthly or quarterly (Partners choice).  Assuming no earnings from the horses, which would serve to lower or perhaps eliminate then need for further support from Partners, estimated expenses will average $265 per-month.  Expenses will be higher when the horses are at the racetrack and lower when they are not.

Expense Schedule: At signing, $780 for quarterly expenses, Jan. 1 thru June 30, 2010. 
Monthly or Quarterly thereafterJuly 1 through Sept. 30, ’10, monthly expenses of $130 per-share per-month ($390/quarter).  

Oct. 1, ‘10 through June 30, ’11, estimated monthly expenses at the training center will average $260 per-share 780 per-share per-quarter ($260/month).

Beginning July 1, 2011, maximum estimated monthly expenses at the race track will average $360 per-share ($1,080/quarter) unless reduced or rendered unnecessary via earning from the horses.  Important NoteOur expense estimates include no earnings or residuals from the horses which, if any, would serve to reduce expenses.  We do not mark up expenses nor do we charge exorbitant management fees.  The LLC may be charged up to $350/month to help defray All Play Stable expenses.

Total due at signing: $2,605 if paid in full; $962.50 if paid in installments (one installment of $182.50 plus $780 for board from Jan. 1 to June 30, 2010).

Each horse is insured for $25,000.

Veterinary expenses from an unforseeable catastrophe are not included in expense estimates.

Distributions: Partners receive 100% of all distributions until each Partner has received 125% of their investment (cost of share plus expenses).  Following that event, Partners receive 75% of all distributions and All Play Stable receives 25%.

Additional Information: Annual cost to keep a horse with a prominent trainer at a major race track (Belmont, Churchill, Gulfstream, etc.) is between $30,000 and $40,000.  Day rates for such trainers are between $80 and $120 dollars.  Training center day rates are $50 to $70/day, and turn-out rates at farms are from $20 to $30/day.

All matters pertaining to the LLC and its operation are explained in detail in the Summary Presentation, the Confidential Offering Memorandum, the Operating Agreement and the Subscription Agreement, which are available upon request.
