Ladies First is a sixteen-share, two-horse Partnership.  Ninety percent of the Partnership will be sold in fifteen equal shares, each share a six-percent ownership interest.  All Play Stable will retain and fully support a kne share ownership interest.  Shares cost $1,175.  Ongoing monthly costs will average $265 per-share ($795/quarter).  Four shares have been sold.   Details follow, but right now, Think Of The Possibilities as we meet our fillies!

Introducing “Miss Waterford,” a dark brown filly foaled in Pennsylvania on Jan. 21, 2009.  She’s nominated to Breeders Cup and the Florida Stallion Series, and as a Registered Pennsylvania-bred is fully eligible to compete in the lucrative PA Thoroughbred racing program. (Photo - July’09)

Miss Waterford is a racy-looking filly with a very high opinion of herself.  She’s from the first crop of Exclusive Quality, son of Leading Sire Elusive Quality.  A physically impressive individual, Exclusive Quality was sold at the Keeneland 2004 September Yearling Sale for $850,000.  He started four times,  finishing second in his lone start at two, then winning three races at three including a maiden win in which he defeated eventual three year-old Colt Champion, Bernardini.  “E.Q.” set a new track record at Gulfstream Park, running 7/8ths in a smashing 1:21:1.  He won the Spectacular Bid Stakes at Gulfstream, running 6½ furlongs in a sizzling 1:15:4.  “E.Q.” could fly!

Miss Waterford is the first foal from Toasttofriendship (nickname: “Toasty”), a daughter of emerging top broodmare-sire, Salt Lake.  Sound as a bell of brass and as honest as the day is long, “Toasty” made thirty-seven starts in five years at the race track.  She won seven races and earned nearly $110,000 in the process.  As a two year-old, “Toasty” was sold for $70,000 at the OBS Selected Sale of Two Year-Olds in Training.

Toasty’s dam is Miss Angel Too, dam of six winners including the Grade III Stakes Placed filly Sweet Storm Creek ($249,166).  Toasty’s grand-dam, Adam’s Angel ($71,120), is the dam of eleven winners from twelve foals, including four stakes horses (all fillies): stakes winner MISS ANGEL T. ($243,462) and stakes- placed May We ($135,228), Gate Appeal ($116,659) and Spiritofpocahontas ($65,918).

Now, meet “Twylight Cocktails,” a snazzy bay filly by GIBSON COUNTY from Twyla, by Citidancer, foaled in Florida on Feb. 25, 2009.  She’s nominated to Breeders Cup and the Florida Stallion Series, and as a registered Florida-bred she’s eligible for the bonuses awarded to horses that earn money in races at the Florida tracks. Thanks and congratulations to Kim Thurler who submitted “Twylight Cocktails” as her winning entry in the Filly Division of our July ‘09 ”Name A Race Horse, Win A Prize” Contest.

Twylight Cocktails is from the sixth and final crop of GIBSON COUNTY, multiple Graded Stakes-placed stakes winner of over $375,000. A crack California sprinter, the Bob Baffert-trained Gibson County made twenty-five starts over four seasons, finishing in the money in eleven stakes races and winning three, two of them as a two year-old.  GIBSON COUNTY was emerging as a very successful sire when he died prematurely in March of 2008.  He was the very definition of speed and soundness.

Twylight Cocktails is the third foal from Tywla, daughter of excellent broodmare sire and purveyor of speed, Citidancer.  Hickory-tough was Twyla, making thirty-three starts over four racing seasons, winning or placing in nineteen races, and earning over $123,000.  Twyla is the dam of two other foals, both winners:  Five year-old Another Vow ($163,800) and three year-old Twyla’s Red Cat ($45,640).

Twyla’s dam, Judge Supreme, was stakes-placed, and is the producer of nine winners from eleven foals, including stakes winners McKENDREE ($334,156) and WHITE CLIFFS, ($245,542).

Shares: Sixteen.
Shares retained and supported by All Play Stable: 1 (10% ownership interest).
Shares available to Partners: Fifteen, each share a 6% ownership interest.  Partners may own up to four shares.

Cost per-share$ 1,175 if paid in full at closing.
$ 1,410 if paid in twelve monthly installments of $117.50.

Expenses:  Estimated & paid monthly or quarterly (Partners choice).  Assuming no earnings from the horses, which would serve to lower or perhaps eliminate then need for further support from Partners, estimated expenses will average $265 per-month.  Expenses will be higher when the horses are at the racetrack and lower when they are not.

Expense Schedule: At signing, $780 for quarterly expenses, Jan. 1 thru June 30, 2010. 
Monthly or Quarterly thereafter:  July 1 through Sept. 30, 2010, monthly expenses of $130 per-share per-month ($390/quarter).  

Oct. 1, ‘10 through June 30, ’11, estimated monthly expenses at the training center will average $260 per-share 780 per-share per-quarter ($260/month).

Beginning July 1, 2011, maximum estimated monthly expenses at the race track will average $360 per-share ($1,080/quarter) unless reduced or rendered unnecessary via earning from the horses.    Important NoteOur expense estimates include no earnings or residuals from the horses which, if any, would serve to reduce expenses.  We do not mark up expenses nor do we charge exorbitant management fees.  The LLC may be charged up to $350/month to help defray All Play Stable expenses.

Total due at signing: $1,955 if paid in full; $897.50 if paid in installments (one installment of $117.50 plus $780 for board from Jan. 1 to June 30, 2010).

Each horse is insured for $25,000.

Veterinary expenses from an unforseeable catastrophe are not included in expense estimates.

Distributions: Partners receive 100% of all distributions until each Partner has received 125% of their investment (cost of share plus expenses).  Following that event, Partners receive 75% of all distributions and All Play Stable receives 25%.

Additional Information: Annual cost to keep a horse with a prominent trainer at a major race track (Belmont, Churchill, Gulfstream, etc.) is between $30,000 and $40,000.  Day rates for such trainers are between $80 and $120 dollars.  Training center day rates are $50 to $70/day, and turn-out rates at farms are from $20 to $30/day.

All matters pertaining to the LLC and its operation are explained in detail in the Summary Presentation, the Confidential Offering Memorandum, the Operating Agreement and the Subscription Agreement, which are available upon request.
